Medcare Management Services Private Limited (“the Company” or “Medcare”) is engaged in the business of providing diagnostic, imaging and healthcare support services. In line with its commitment towards inclusive healthcare, social responsibility and sustainable development, the Company has formulated this Corporate Social Responsibility (“CSR”) Policy in accordance with Section 135 of the Companies Act, 2013, the Companies (Corporate Social Responsibility Policy) Rules, 2014 and Schedule VII of the Companies Act, 2013.
This Policy shall apply to Medcare Management Services Private Limited upon applicability of Section 135 of the Companies Act, 2013, or earlier to the extent voluntarily adopted by the Board.
Medcare believes that access to quality healthcare is a fundamental social need. The Company’s CSR philosophy is to support healthcare access for economically weaker sections, provide concessional diagnostic and imaging services and align its operations with social welfare objectives.
The Company shall undertake CSR activities primarily in healthcare including preventive healthcare, concessional diagnostic services, support to indigent patients and beneficiaries under Government health insurance schemes such as MPJAY, Ayushman Bharat, MODICARE or similar schemes.
In addition to the above, the Company shall remain open to evaluate and undertake any other mode or form of Corporate Social Responsibility activities, whether monetary or non-monetary, that are aligned with the overall objectives of this Policy and fall within the ambit of Schedule VII of the Companies Act, 2013, as may be approved by the Board of Directors / CSR Committee from time to time.
CSR activities may be implemented directly by the Company or through hospitals and healthcare institutions with whom the Company has operational arrangements.
CSR contribution may be in non-cash form including concessional diagnostic, imaging and laboratory services. The value of such CSR contribution shall be measured as revenue foregone based on standard rate cards.
The Company shall endeavor to meet the statutory CSR spending requirement. Concessional services provided under healthcare arrangements shall be capped at 1% of the total annual gross billing of the relevant operations, computed with reference to the immediately preceding financial year.
CSR activities shall be monitored by the Board / CSR Committee. Appropriate disclosures shall be made in the Board’s Report as per applicable law.
The Board may amend this Policy from time to time to align it with legal or business requirements.
This Policy shall be effective from the date of approval by the Board of Directors.
